Incoterms

Incoterms rules 2023

Incoterms, also known as Incoterms in the English-speaking world, are global guidelines created by the International Chamber of Commerce (ICC). The guidelines outline key aspects of the delivery of goods, allocating responsibilities, costs, and risks between the sender and the recipient. They unify and clarify important aspects of international commerce, promoting greater transparency and predictability in business relationships.

In the context of B2B commerce, Incoterms play a key role. They help to resolve uncertainties arising in international transactions, in particular, regarding the moment of transfer of responsibility for the goods, as well as the distribution of costs for transportation, insurance, customs duties, etc.

Incoterms offer a standardized set of terms that are understandable to entrepreneurs around the world. For example, the term “FOB” (Free On Board) indicates that the sender is responsible for the goods until they are loaded onto a ship in a certain port, after which all obligations and risks are transferred to the recipient.

The use of Incoterms in B2B commerce allows partners to avoid ambiguities that occur during the delivery and transportation of goods, reducing the risk of legal conflicts and unforeseen expenses. International B2B commerce relies on clearly defined delivery terms. Incoterms serve as a global benchmark that defines the responsibilities and risks of the parties.

Changes to Incoterms 2023

The year 2023 introduced changes to Incoterms, including the introduction of new definitions, such as DPU, and modification of existing terms. The main thing to remember is that Incoterms are standard rules that establish generally accepted definitions and procedures in international trade.

Changes to Incoterms 2023 include:

  • DPU (Delivered at Place Unloaded): This new term replaces DAP (Delivered at Place) and requires the seller to deliver the goods not only to the designated place but also to ensure their unloading;
  • CIP (Carriage and Insurance Paid to): Changes to this term now require a higher level of insurance to be provided by the seller;
  • FCA (Free Carrier): Clarifications have been made to facilitate the use of this term for containerized transportation.

These changes are aimed at increasing flexibility and security in international trade, as well as ensuring greater compliance with modern logistics practices. All parties involved in international trade must familiarize themselves with these changes and take them into account when planning their commercial operations. Knowledge of the updated Incoterms 2023 will help ensure the efficiency and legal purity of international trade transactions.

Application in Ukraine

In the context of Ukrainian business, Incoterms 2023 function as legally significant elements in contracts, although the rules themselves have the status of recommendations. Their use is widespread in the country’s commercial practice.

Interpretation of Incoterms 2023 terminology

Incoterms 2023 are presented in the form of eleven three-letter codes, each of which has its meaning

  • Category С: Includes terms related to payment for transportation. For example, CPT means delivery to the point designated by the buyer, where the goods are handed over to his carrier;
  • category Е: Defines the terms of shipment, such as EXW, where the goods are shipped from the seller’s place;
  • category D: Describes the terms of delivery, such as DDP, which means the goods are delivered to the destination without additional duties;
  • category F: Refers to situations where the cost of the main transportation is not covered by the seller, for example, FOB, when the goods are loaded onto a ship at the port.

It is recommended to use English terminology, but a translation can be used for convenience. Terms are classified into two types:

  • For sea transportation: CRF, CIF, FAS, FOB.
  • For all types of transportation: Other codes that are used universally.

Incoterms 2023 does not regulate aspects of payment, value of goods or transfer of ownership. They act as a supplement to the sales contract but are not a complete replacement for it. It is important that the terms of the contract comply with national law and are legally sound.

Guidelines for choosing terms

Selecting the appropriate Incoterms is key to the successful implementation of international contracts, taking into account the specifics of your business and the type of transportation. In the context of Incoterms, this choice is critical because it determines who is responsible for delivery, risks of loss or damage to the goods, and customs procedures. Below are some tips for choosing the most appropriate Incoterms:

  1. Risk strategy. Determine how much risk you are willing to accept. Some companies prefer to have more control over the process, taking on more responsibility, while others try to minimize risks.
  2. Type of transportation. The choice of Incoterms may depend on the delivery method. For example, FAS and FOB are often used for sea transportation.
  3. Local customs. Consider the practices and traditions of the partner’s country, as they may have preferences for certain Incoterms.
  4. Risk assessment. Determine at what stage you want to transfer the risk to the buyer. With EXW the risk is transferred almost immediately, while with DDP the seller bears the risk until final delivery.
  5. Additional costs. Take into account all additional costs, such as insurance and customs fees, to choose the most profitable option.
  6. Regulatory requirements. Make sure you are familiar with the customs and other regulatory requirements of the destination country.
  7. Consultations. Discuss the potential difficulties associated with the chosen Incoterms with your logistics partner or legal advisor.
  8. Clarity in the contract. Ensure that the chosen Incoterms are clearly stated in the contract to avoid misunderstandings.
  9. Periodic review. As business conditions and the regulatory environment are subject to change, regularly check the relevance of your Incoterms.
